About the Role
We are seeking a highly capable and business-minded Legal Associate with 3-4 years of post-qualification experience (PQE) to join our dynamic legal team. This role requires a well-rounded legal professional with expertise in U.S. law, securities compliance, and franchise operations, as well as strong commercial and audit sensibilities. The ideal candidate will possess a proactive, strategic mindset and a collaborative approach to working across global teams.
Key Responsibilities
- Draft, review, and negotiate a variety of commercial contracts, including vendor agreements, service agreements, NDAs, and franchise agreements.
- Advise on and manage compliance with U.S. securities laws, including SEC filings, disclosure obligations, and related corporate governance requirements.
- Support legal aspects of franchise development and compliance, including drafting Franchise Disclosure Documents (FDDs), franchise agreements, and ensuring compliance with jurisdiction-specific regulations.
- Conduct and support internal legal audits and compliance assessments, ensuring the business adheres to regulatory requirements and internal controls.
- Partner with internal audit and finance teams to address compliance risks and prepare for external audits and reviews.
- Oversee and coordinate corporate governance matters, including board resolutions, shareholder agreements, and company records.
- Perform vendor and client due diligence, risk reviews, and regulatory compliance checks.
- Provide legal support to cross-functional teams and global operations, ensuring adherence to applicable laws across multiple jurisdictions.
- Advise on intellectual property matters, including trademark protection, licensing, and enforcement strategies.
- Collaborate with and manage external counsel on specialized legal matters.
- Handle general legal inquiries, support operational decision-making, and help mitigate legal risk company-wide.
Requirements
- Juris Doctor (JD) or equivalent law degree from a recognized and accredited law school.
- Admission to practice law and in good standing.
- 5-6 years PQE, ideally with experience in both a law firm and in-house environment.
- Demonstrated knowledge of U.S. securities law, SEC compliance, and private company governance.
- Experience in franchise law and compliance, including regulatory filings and franchisee support.
- Familiarity with legal aspects of internal auditing, compliance reviews, and financial risk oversight.
- Strong drafting, negotiation, and commercial contract skills.
- Working knowledge of intellectual property law and practice.
- Excellent communication skills in English (written and spoken); additional languages are a plus.
- Ability to collaborate effectively with global teams and internal stakeholders.
- Strong leadership skills, business judgment, and strategic thinking.
